We, ХХХХХХ Traders, on behalf of end seller, hereby issuing this Soft Corporate Offer with given terms and conditions, confirm our readiness to execute with full responsibility and under penalty of perjury to enter into contract, Sales & Purchase Agreement for the Iron Ore :
Dear Sirs,
COMMODITY : IRON ORE (MAXIMUM CAPABILITY 100,000 TONS PER MONTH).
ORIGIN : MEXICO
FREQUENCY : 12 months in FOB x 50,000 TONS PER MONTH
TOTAL CONTRACT QUANTITY : 600,000 TONS WITH ROLLS & EXTENSIONS. TYPE/GRADE : IRON ORE 63% Fe WITH BELLOW ≤63% PENALIZATION, REJECTION ≤61%. PRICE ADJUSTMENT : The base price shall be decreased by US$ 1.0 PDMT for each 1% Fe below 63% fraction pro-rata. The base price shall be increased by US$ 2.0 PDMT for each 1% Fe over 63% fraction pro-rata.
PAYMENT TERMS : DL/C 100%, IRREVOCABLE, NON-TRANSFERABLE, UNCONDITIONAL, CONFIRMED OR
ISSUED BY ANY TOP 10 USA BANK. PERFORMANCE BOND : 2%
SHIPMENT MODE : BULK PACKING LOOSE IN BREAK-BULK VESSELS FOB PRICE : $103 per DMT – DLC payment at loading port 98% and 2% after SGS after CIA/SGS at
discharging port.

Procedures:
1. Seller submits FCO and Documentations for verification:
1) Report of Analysis for Iron Ore fine Fe 64.5% and above SGS.
2) Bill of Ladings associated with the above Reports of Analysis.
3) Valid Mexican Export Permit Certificate
2. Buyer returns 1) signed FCO, 2) ICPO/LOI, 3) draft contract, and 4) Draft of the LC+ NCNDIMPFA.
The LOI/ICPO must be address to our company:XXXXXXXXXXXXXXXXXXXXXXX
3. Seller returns the draft contract by facsimile or email attachment, duly signed and sealed. The draft copy will be deemed legal as hard copies until hard copies exchanged – if needed – and/or Performa Invoice in lieu of hard copies.
4. Buyer will issue the DL/C & sign the final contract.
5. Seller issues to Buyer the Performance Bond (PB) comprising 2% of the shipment value.
6. First delivery in FOB: within 4 weeks from the date of receipt of the DLC from the Buyer.
