WE, “RALI ROSES IMPORT-EXPORT S.L”, AS THE REPRESENTATIVE OF SELLER, WITH FULL CORPORATE RESPONSIBILITY, CONFIRM THAT THE SELLER ARE READY, WILLING AND ABLE TO SUPPLY, ACORDING TO THE FOLLOWING TERMS AND CONDITIONS FROM THE PROVIDER. WILL BE BASED ON INTERNATIONAL PROCEDURES.

II CIF ASWP PRICES:
- For the quantity of 25 000 MT, price is 790 $
These prices can be modified without preliminary warning.
III MINIMUM SHIPMENT
SELLER WILL NOT ACCEPT ORDERS WHICH CONTENTS LARGE QUANTITIES PER YEAR
WITH SMALL REQUESTS IN FIRST MONTH SHIPMENTS ALL SHIPMENTS HAVE TO BE
EQUAL IN QUANTITIES.

S.G.S Inspection for Quality and Quantity Service at Seller’s Cost will
inspect the Commodity at Loading Port
VI PERFORMANCE BOND
The Seller only post 2% PB if the Buyer pay with Bank Guaranty either for
spot over 12,500mt or 12 months contract.

PROCEDURE
(AFTER RECEIVING A FULL BUYER'S ICPO WITH SOFT PROBE)
1-Seller issues FCO in favour of the buyer.
2-Buyer signs the FCO and sends it back to the seller via email.
3-Seller issues Draft Contract and Pro Forma Invoice in favour of the Buyer.
4-Buyer accepts and agrees with the payment terms and conditions of the FCO, signs, stamps and sends back to the Seller via email.
5-Seller issues Draft Contract with full banking information. Draft contract shall be signed by both parties and send via fax or electronic message v, or similar, of hard copies duly notarized and recognized by a public certified notary.
6-After the signature of the draft contract, immediately and within 24 hours, the Buyer sends proof of funds (POF) via swift MT 999.
7-Within 07 (seven) days after the signature of the draft contract, the Buyer will present the financial instruments SBLC, RDLC non operative to the Seller's bank.
8-The seller will provide partial POP (proof of product) for the first 3 shipments.
9-Within 10 (ten) banking days after the confirmation by the Seller's bank of reception financial instruments from the buyer's bank, the seller will issue a 2% (two percent) Performance Bond (PB) in favour of the Buyer to activate the RDLC (for spot sale, no PB required).
10-The financial instrument (SBLC, RDLC0) becomes fully operative, delivery and shipment commence as per contract.
INSURANCE POLICY: The seller shall provide an Insurance Policy at its sole expense and responsibility. Insurance shall cover all risks for one hundred and ten percent (110%) and shall be class (a) as defined by the ICC(International Chamber of Commerce).Insurance shall be in favour of the Buyer.
